By visiting and browsing our Website and/or using any of the Services (as defined below), you explicitly agree to be bound by these Terms of Use. If you do not agree to be bound by these Terms of Use, you shall not access this Website or use the Services. Please read these Terms of Use before you use this Website and Services. These Terms of Use is the binding legal agreement between you, the user of the Services and iDHS.HealthWise.

Please carefully go through the Privacy Policy available at https://www.idhshealthwise.com/iDHS/privacy-policy (“Privacy Policy”) before you decide to access the Website or use the Services made available on the iDHS.HealthWise Website.

iDHS.HealthWise reserves the right to change these Terms of Use, Privacy Policy and any other document applicable to the use of Website and Services. These changes are effective immediately upon posting. When changes come into effect, the revised Terms of Use shall supersede the previous version of the Terms of Use.

DEFINITIONS

“Controlled Drugs” means any substance or product for the time being defined in the Misuse of Drugs Act 1971.

“iDHS.HealthWise”, “we” or “our” means Integrated Digital Healthcare System Ltd, registered in the UK under Registration No 10182013, having its business address at Kemp House, 160 City Road, London, EC1V 2NX, being the owner and operator of the Website.

“Practitioner” means a medical practitioner or health care provider (whether an individual professional or an organization) or similar institution listed on the Website, including designated, authorized associates of such practitioners or institutions.

“Services” means performance of services of a healthcare platform providing users with direct access online consultation (audio and video) to doctors and other healthcare professionals, as well as other services available on the Website.

“Terms” means these Terms of Use as amended from time to time.

“User” means a Website visitor, patient, his/her legal representative, searching for Practitioners through the Website, or otherwise a user of the Website.

“Website” means the website https://www.idhshealthwise.com/, our mobile applications and any other access of the Services through any interface we have and/or may develop.

MEDICAL AND OTHER DISCLAIMERS

Our Services can be accessed via internet enabled mobile device, laptop and computer. The output from this does not constitute medical advice, diagnosis or treatment. You should always contact the Practitioner about any questions you may have about a medical condition.

Our Services are not designed for crisis or emergency situations other than to offer advice. In a crisis or in an emergency situation, please call your local medical emergency or go to the local hospital immediately.

iDHS.HealthWise is only a platform on which the User may connect with a Practitioner. iDHS.HealthWise does not provide any medical or other consultation directly to the User.

Please be aware that in certain situations a Practitioner may not be able to provide you with a remote advice (please check Section “Our Services” for further information).

You agree to provide the Practitioner with full, accurate and true information. Otherwise, the Practitioner will not be able to provide you with consultation.

We operate in accordance with the laws of England and Wales and we are not responsible for laws outside England and Wales. Our Services are provided in English.

OUR SERVICES

Our Website is a healthcare platform on which the User can receive health and medical advice via video and audio doctor consultations. The User may consult with other healthcare professionals and order other services available on the Website. iDHS.HealthWise does not provide any medical consultation directly.

We provide the following Services:

  • remote audio and video consultations with our Practitioners;
  • access to our digital tools with symptom checker to receive healthcare and triage information, but not diagnosis and/or treatment;
  • if applicable, our Practitioners may prescribe medicines for certain common medical and mental health conditions. Our doctors will not prescribe Controlled Drugs and some other classes of drugs;
  • our Practitioners provide diagnosis, where appropriate, and recommend treatment;
  • access to healthcare records we hold;
  • access to other digital healthcare tools that provide health and lifestyle information; and
  • a User may be referred by a Practitioner to other healthcare practitioner with the user’s consent.

Our Website provides healthcare information and not medical advice, diagnosis and/or treatment. Our Practitioners provide medical advice, diagnosis and/or treatment based on information entered by the User. Unless otherwise stated, our Practitioners are fully qualified to provide you with the Services. They do not diagnose your own health condition or make treatment recommendations for you. Our information services are not a substitute for a doctor or other healthcare professional. You shouldn't take or stop taking any action (such as taking medicines) based on information from our information services. We make no warranties in relation to the output of our information services.

The Services are regulated by the Care Quality Commission in the UK (its website is http://www.cqc.org.uk).

Our Practitioners are GPs registered with the General Medical Council, and other regulatory medical bodies in their respective countries who have committed to provide services in accordance with clinical best practice and applicable professional standards.  Some of our Practitioners are licensed in other countries. Please contact our Customer Support at cs@idhshealthwise.com to find information about other countries in which our Practitioners practice.

All prescribing of medicines is conducted at a Practitioner’s sole judgement and is based on patient's best interests.

Our Services are not intended for emergency situations or for conditions that require a physical examination. Our Practitioners provide consultations based on the information that you provided. We make no warranties in relation to the output of the information services.

When you use our Services, our Practitioners will serve you from the UK and other countries in which a Practitioner has an applicable license.

If you are accessing our Services from outside the UK, you should check whether it is lawful to access our Services in the territory where you are. We provide our Services in compliance with UK law and regulation, and cannot take responsibility for any differences between those rules and any different rules applying to healthcare services anywhere else.

DATA RETENTION

CHILDREN

Our Services are available only to anyone over 16 years old provided that they are able to use their credit or debit card for the payment of Charges. Children under 16 may have an account opened for them by a parent or legal guardian, and if the parent or legal guardian supervises the child’s use of our Services at all times. iDHS.HealthWise does not knowingly provide Services and collect personal information from anyone under 16 years of age. If we learn that we have collected the personal information of a child under 16, or equivalent minimum age depending on jurisdiction, we will take steps to delete the information as soon as possible.

USE OF THE SERVICES

Certain Services and access to the Website may only be accessible subject to the following conditions:

  • the User agrees to provide full, accurate and complete information requested by a Practitioner;
  • if requested by a Practitioner you shall seek further medical advice;
  • you agree to follow any recommendation given by a Practitioner;
  • you agree to follow instructions regarding the use of any medicines or healthcare products prescribed by a Practitioner;
  • you agree to immediately report a Practitioner of any adverse or unexpected effects of treatments that such Practitioner recommended to you;
  • you will update information that we keep about you in a timely manner;
  • you will use our Services only for yourself and not for any third party, unless you are a parent or a legal guardian in which case you shall inform us about it;
  • You are solely responsible for any activity that occurs under your email and username and monitor your email for identifying access by unauthorized third parties.

You must comply with these Terms as well as any applicable laws.

ACCOUNT REGISTRATION

Certain Services on our Website are only accessible to registered users. In order to register for an account, you agree to provide us with information about you, such as, without limitation, your name, e-mail address, and affirm your acceptance with these Terms and Privacy Policy. Upon successful completion of the registration process, we will establish your account on the Website. In submitting this or any other personal information as may be required, you verify that the information is accurate and authentic, and you agree to update your personal details if any information changes.

Any User cannot register more than one user account. If your user account has been suspended, blocked or terminated and/or is disputed, you shall contact us for preliminary written approval to open a new user account.

For security reasons, please keep your password confidential and monitor your account for unauthorized third party access. If you identify or suspect any unauthorised use of your account, you should immediately notify us.

PRODUCT SALES

We provide services which enable your purchase of products (“Product”) from third party suppliers that we are reselling or selling on behalf of such third party seller (“Supplier”).

If you use our Services to purchase a Product, we will place the order on your behalf with the Supplier. iDHS.HealthWise is acting as an intermediary for Products offered by a Supplier. iDHS.HealthWise will not be a party in any relationships between the User and the Supplier. iDHS.HealthWise cannot give any undertaking, that Products you purchase from a Supplier will be of satisfactory quality, and any such warranties are disclaimed by us absolutely. You shall check the terms and conditions of each Supplier which will include the payment and refund/cancellation procedure.

Though iDHS.HealthWise is only an intermediary for Products offered by a Supplier, you can contact us if you have any issues with your Product order.

Product images are illustrations and may not accurately reflect the real colours.

Where applicable, we will collect payment for your Product order when it is made, but will refund your payment if the Product ordered is not in stock or cannot be supplied. If a Supplier makes a refund of amounts paid by you to us, we will pass that refund to you.

PRESCRIBING OF MEDICINES

The medicines are only prescribed by qualified doctors registered with the UK’s General Medical Council (“Qualified Doctors”). In accordance with applicable laws, Qualified Doctors are permitted to prescribe medicines without meeting the patient face to face, unless the User’s condition requires a physical examination, in which case the Services cannot be provided.

All Qualified Doctors who have signed up to provide prescriptions through the Website have undertaken to comply with the General Medical Council Guidelines and the prevailing regulatory body in a country in which they have license on remote prescribing, essential standards of quality and safety as enforced by the Care Quality Commission and other regulatory bodies.

Some Practitioners can be additionally qualified and licensed in other countries. All information about the licenses and qualifications will be supplied by iDHS.HealthWise upon request. Please contact our Customer Care at cs@idhshealthwise.com.

Prescription of Controlled Drugs are excluded from our Services and our Practitioners do no provide prescriptions for Controlled Drugs.

Our Services may allow that the prescription is sent to your local pharmacy. In this case you may collect it during opening hours or order a delivery. We will not be responsible for any failure of the pharmacy to accept the prescription or process the order, or cost or availability of medicines prescribed.

If you request delivery, we will arrange for the delivery by our third party provider at your expense. The delivery time and terms will be displayed in your account. Please contact us for international delivery terms.

Unfortunately, we do not offer refunds for medications ordered once the order is placed.

We or our third party provider may refuse and cancel your order, if we consider that an order is not suitable for the person for whom it is intended or can be illegal.

We and our third party pharmacy partners will use our best effort to process your order. However, we will not be responsible for any faults or omissions of the pharmacy.

PREGNANCY SUPPORT AND OTHER TOOLS

iDHS.HealthWise provides certain tools and features available to registered Users. Such tools include, without limitation:

  • Self-care
  • Pregnancy Support tools, including Fertility Tracker, Due date calculator, contraction counter, FAQs
  • Symptom Checker
  • Health Insurance
  • Electronic Medical Records (EMR)
  • Doctor to doctor knowledge sharing (hereinafter collectively referred to “Tools”).

These Tools are available subject to your compliance with these Terms, including our technical requirements. It is not the intention of iDHS.HealthWise to provide specific medical advice through the Tools, but rather the material contained on these Tools is for informational purposes only. Specific medical advice will not be provided through these Tools. iDHS.HealthWise urges you to consult with a Practitioner or physician for diagnosis and for answers to your personal pregnancy and health related questions.

The information and contents of the Tools is provided “as is”. Nothing contained in the Tools is intended to be instructional for medical diagnosis or treatment. The information should not be considered complete or up to date, nor should it be relied on to suggest a course of treatment for a particular individual.

TECHNICAL REQUIREMENTS & INTERNET CONNECTION SPEEDS

iDHS.HealthWise engages third party providers to perform the Services available on the Website. Our tools and features are available and can be accessible by the User upon compliance with the following technical requirements:

  • Our Services are available if you use the latest version of such operating system: Windows 7 or higher, Linux with X.ORG, MacOS 9 and higher; and mobile platforms: Android and iOS, web browser: Chrome (version 22 or higher) or Safari (6.0 or higher);
  • Our Services can be used with consistent 4G or faster data connection;
  • We may update our application, for which purpose we recommend to install a newer version of our application. Such installation can be done automatically or manually. Depending on the update, you may not be able to use the Services until you have downloaded or streamed the latest version of the App and accepted any new terms.

By using our Services, you agree to make necessary changes to conform and adapt to technical requirements of the Services and Website. iDHS.HealthWise does not provide any technical support for any services made available by third party providers from whom you receive the Services.

To use IDHSHealth.Wise you are required to have an active Internet connection with 1mbps of available bandwidth, for the best quality connection we recommend a minimum of 3mbps available bandwidth.

If you require medical advice and IDHSHealth.Wise is inaccessible or there are no appointments available to suit you; you miss an appointment you have made or start a connection that fails; or attend an appointment that has been cancelled or when a Practitioner is not available, you understand and agree that it is your sole responsibility to seek appropriate alternative medical advice from alternative service providers.

PAYMENT TERMS

The fees for our subscription packages, plans and products is indicated on the Website FAQ section. Fees exclude VAT, where applicable, unless otherwise stated. Our subscription plans for consultation include: Individual, Family and Corporate Plans which are payable up-front in advance.

Users can buy a one-time, monthly or annual subscription. One-time subscription will start when iDHS.HealthWise confirms the payment and will continue for a period of one year. You may use your one-time subscription at any time during the one-year term.

When you purchase a monthly subscription, you may select auto-renew option in your account. At the end of the monthly subscription period, you will automatically be billed (if you selected the auto-renew option) for an additional subscription term of 30 days unless you cancel your subscription. If you do not opt for the auto-renew selection, your subscription would automatically terminate at the end of the month.

When you purchase an annual subscription, you may select auto-renew option in your account. At the end of the annual subscription period, you will automatically be billed (if you selected the auto-renew option) for an additional subscription term of one year unless you cancel your subscription. If you do not select the auto-renew option, your subscription would automatically end at 1 year.

If you wish to upgrade your subscription plan, you may select a new plan prior to the end of your current subscription term, otherwise you will be billed for the next term of your current subscription.

By ordering a product or service, you agree to pay iDHS.HealthWise the one-time, monthly and/or annual subscription fees indicated (additional payment terms may be included in other communications). Subscription payments will be usually charged on a pre-pay basis on the day you order a product or service and will cover the use of that service for a monthly or annual subscription period or for one-time subscriptions. Users may pay for Services using a credit or debit card, PayPal or bank transfer. Users ordering our Services in certain countries are able to pay for their subscription by mobile phone top-up, users may contact our Customer Care team at cs@idhshealthwise.com to find out more details.

Payments are not refundable.

Our prices, including subscription fees, may change at any time. New pricing takes effect upon renewal of your subscription or upgrade.

BOOKING A CONSULTATION

You may carry out a search for an applicable doctor or needed healthcare Practitioner at any time subject to their availability. We are unable to guarantee the availability of any Practitioner at any time. Upon ensuring the Practitioner’s availability, you may book an appointment with them. Appointments are bookable in 15 minute slots and you may book as many 15 minute slots as you reasonably need. When you confirm your booking request with the Practitioner and it is accepted by the Practitioner, the number of 15 minute slots booked would automatically be deducted from your credit. In the event that you fail to show up for your appointment or re-schedule no later than 2 hours before the appointment you shall forfeit no less than 20% of the fee paid for the slot(s).

We do not tolerate abuse or offensive behaviour towards Practitioners on our platform.

We charge for consultations in 15-MINUTE BLOCKS or SLOTS, which we call Sessions. You understand and accept that you may only ever purchase a complete Session and not individual minutes and that using one (1) second of time in a Session is the same as using all of it, so you will be charged accordingly. You agree and accept that you will not be entitled to any rebate, refund or compensation as a result of your not using the full length of time available in a Session, nor shall you be due any rebate, refund or compensation of any kind if you fail to prevent the start of a new Session (as explained below) by exiting the video-surgery using the EXIT button provided. You accept that the EXIT button provided by IDHSHealth.Wise on the Platform is clearly-placed, appropriately-signposted and understood by you to be used to EXIT and prevent charges when you so require.

A consultation is made up of single or multiple Sessions, as many as you authorise by choosing to maintain (i.e. not EXIT) your connection in one of the Platform’s video-sessions with a Practitioner. You will be counted-in to the start of a consultation and also every subsequent Session extension start time. For Session extension start times, you will be counted-in on-screen for a period of 20 seconds, which you accept is a suitable/appropriate notification period allowing you to EXIT the consultation if you do not wish to authorise the next Session to start. Upon any count-in reaching zero you will have duly authorised the next Session to start and any and all relevant charges for such further Session(s) will be applied to your Account.

USE OF THE WEBSITE

You agree that you will not use the Services for any purpose that is unlawful or prohibited by these Terms. You must not, without limitation:

•        use our Services to perform criminal activity of any kind;

•        damage, disable, overburden or impair the Website or Services, or interfere with any other party’s use and enjoyment of the Website or Services;

•        attempt to gain unauthorised access to the Services, computer systems or networks connected to the Services by any means;

•        reproduce, duplicate, copy, sell, resell or exploit any portion of the Service;

•        upload, post, host, or transmit unsolicited email, SMS, or “spam” messages;

•        make available any materials containing viruses, bots or other code, files or programs designed to interfere, hinder or impair the operation of any computer, telecommunication equipment or software;

•        violate third party rights and/or cause harm in any way;

•        collect and store personal information of other users without their proper authorization.

COMMUNICATION BETWEEN USER AND PRACTITIONER

When communicating between each other, our Users and Practitioners will follow these basics:

  1. Be clear and use accurate grammar and spelling;
  2. Do not personally insult another person;
  3. Do not harass, threaten or attack anyone;
  4. Do not behave in any way that would cause annoyance or distress to other person;
  5. Do not use abusive hateful, sexually suggestive or threatening language;
  6. Make sure that you communicate from an environment void of interference, noise and intrusion.

If a User or Practitioner violated these Terms, please contact our Customer Care at cs@idhshealthwise.com. We will review and investigate your claim.

ACCESS RESTRICTIONS

If we have reasons to believe that your use of this Website and Services is fraudulent and/or illegal, we are entitled at our sole discretion to block, suspend or terminate your access to the Website or deny the use of any Services without any refund to you. If you have conducted any fraudulent and/or illegal activity, iDHS.HealthWise reserves the right to take any necessary legal action against you and you may be liable for monetary losses to iDHS.HealthWise.

INTELLECTUAL PROPERTY RIGHTS

The intellectual property contained in the Website and Services (and any derivative works based on them) is confidential and/or proprietary information of iDHS.HealthWise, our affiliates or its licensors and is protected by copyright and other intellectual property rights. All title, ownership and intellectual property rights on the Website and Services shall remain with iDHS.HealthWise, our affiliates or licensors, as the case may be. All rights not otherwise claimed under the Terms or by iDHS.HealthWise are hereby reserved.

You further acknowledge and agree that the Website and Services are protected by copyrights, trademarks (whether registered or being under registration), service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by iDHS.HealthWise or the applicable licensor (such as an advertiser), you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the Services or the Website, in whole or in part. Without limiting the foregoing, any reproduction, redistribution, reverse engineering or decompilation of the Services or the Website is expressly prohibited by law, and may result in severe civil and criminal penalties.

NO WARRANTIES; LIMITATION OF LIABILITY

You acknowledge and agree that all access and use of the Website is at your own risk. Without prejudice to the generality of the foregoing, we will not be liable to you if the Website or Services are inaccessible or unavailable in whole or in part due to periods of downtime, or for any reason beyond our reasonable control, or because we are carrying out maintenance, upgrades, developments or the like.

Under no circumstances shall iDHS.HealthWise, including its subsidiaries, affiliates, officers, agents, licensors, employees, partners, licensors or others involved in creating, sponsoring, promoting or otherwise making available the Website and its content, be liable to any person or entity whatsoever for any direct, indirect, incidental, consequential or punitive damages or any damages or losses whatsoever.

INDEMNIFICATION

You agree to indemnify and hold iDHS.HealthWise, Practitioners and our subsidiaries, affiliates, officers, agents, licensors, employees, partners or others involved in creating, sponsoring, promoting or otherwise making available the Website, providing Services and data, harmless from any and all claims, damages, losses or liabilities, including reasonable legal fees and expenses, made by any third party due to or arising out of any action, inaction or omission by you. To the extent permitted by law, the total liability of iDHS.HealthWise, Practitioners and our subsidiaries, affiliates,

 officers, agents, licensors, employees or partners for any claims under these Terms, including for any implied warranties, is limited to 10% of the total amount you paid us to use the Services.

FORCE MAJEURE

iDHS.HealthWise shall not be deemed to be in default of any provision hereof or be liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of God, civil or military authority, civil disturbance, war, terrorism, strikes, fires, other catastrophes, power or telecommunications failure or any other cause beyond its reasonable control.

NOTICES

Any notice or other communication given or made under or in connection with the matters contemplated by these Terms shall be in writing and sent electronically.

Notice to the User deems to be received by such User if and when iDHS.HealthWise is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User, or immediately after we post such notice on an area of the Website that is publicly accessible without charge.

You agree that all agreements, notices, demands, disclosures and other communications that iDHS.HealthWise sends to you electronically satisfy the legal requirement that such communication should be in writing.

INTERNATIONAL USE OF WEBSITE

The Website operates and can be accessed in many regions of the world. If you use our Services from outside the UK, the prevailing law within that jurisdiction would apply to your use of the Services. Please contact us at cs@idhshealthwise.com to check whether a practitioner consultation services are available your country prior to your use of the Services.

iDHS.HealthWise makes no representation that the Website and its Services is appropriate or available for use in certain locations, and accessing the Service is prohibited from territories where such Services are illegal. If you access the Service from other locations, you do so at your own initiative and are responsible for compliance with local applicable laws and regulations.

MISCELLANEOUS

Nothing in these Terms shall be interpreted as agency, partnership, joint venture, mutual activities, employment, franchiser-franchisee or any other relations not directly stated in these Terms.

If any provision of the Terms is held to be invalid, non-binding or unenforceable, the remaining provisions shall remain valid and be enforced. In such event, such invalid provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and you will at least agree to accept a similar effect as the invalid, unenforceable or non-binding provision, given the contents and purpose of these Terms.

These Terms together with the Privacy Policy constitute the entire agreement between you and iDHS.HealthWise regarding the Website and Services. Any modifications to these Terms and Privacy Policy shall be made in writing.

The failure of iDHS.HealthWise to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of iDHS.HealthWise. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

iDHS.HealthWise may assign its rights and (where permissible by law) its obligations under these Terms, in whole or in part, to any third party at any time without notice, including without limitation, to any person or entity acquiring all or substantially all of the assets or business of iDHS.HealthWise. You may not assign these Terms or the rights and duties hereunder, in whole or in part, to any third party without the prior written consent of iDHS.HealthWise.

GOVERNING LAW

To the extent permitted by law, these Terms and the provision of our Services shall be governed by and construed in accordance with the laws of England and Wales.

COMPLAINTS PROCEDURE

We welcome your feedback and constructive comments at any time via the contact form on the Website or email at cs@idhshealthwise.com.

Should you have any complaints or queries, please kindly send them to us at cs@idhshealthwise.com at the earliest for resolution. We aim to respond to your complaints and queries within 5 days of receipt. Please note that our FAQ sections are able to answer a majority of your questions.

To make a formal specific complaint, please kindly do so via the ticket system on your account dashboard providing as much details as possible about your complaint and a member of our customer care team will respond within 72 hours.

All practitioner complaints are thoroughly investigated through our internal processes and by medical practitioners through the appropriate channels.

We aim to resolve all complaints and disputes as amicably and quickly as possible so your cooperation in providing prompt response to our questions would be appreciated.

In case the parties are not able to amicably settle a dispute, controversy or claim, such dispute, controversy or claim shall exclusively be submitted to the competent courts of England and Wales.

TERMS AND CONDITIONS FOR PRACTITIONERS

 

These Terms and Conditions is the binding legal agreement between Practitioner and Integrated Digital Healthcare System Ltd, registered in the UK under Registration No 10182013, having its business address at Kemp House, 160 City Road, London, EC1V 2NX (“iDHS.HealthWise”).

For the purpose of these Terms, the term “Practitioner” means a medical practitioner, health care provider, medical doctors, dentist, pharmacists, chiropractor, clinical psychologist, optometrist, nurse practitioner, nurse-midwife, physiotherapist and other Allied healthcare sectors (whether an individual professional or an organisation), or similar institution, which is listed on the website https://www.idhshealthwise.com/ (the “Website”), being owned and operated by iDHS.HealthWise.

iDHS.HealthWise reserves the right to change these Terms and Conditions and any other document applicable to Practitioners. These changes are effective immediately upon posting. When changes come into effect, the revised Terms and Conditions shall supersede the previous version of the Terms and Conditions.

ABOUT OUR SERVICES

As part of iDHS.HealthWise, our Practitioners provide digital consultations via a secure platform. Consultations are conducted via audio and video calls. Each Practitioner communicates with a user directly and accepts or declines the date and time for consultation requested by the user. Subject to their compliance with applicable laws, Practitioners are able to prescribe medicines (except for Controlled Drugs) and recommend treatments.

iDHS.HealthWise is only a platform on which a user may connect with a Practitioner. iDHS.Healthwise does not provide any medical or other consultation directly to the user. iDHS.HealthWise will not be a party between the user and a Practitioner.

SELECTION PROCESS

Our Practitioners are selected by our Doctor Validation team, who have a right to refuse any candidate without any explanation based on the verification outcome from documentation provided. The process of selection and appointment of a practitioner starts with reviewing necessary documents and may include a final video interview.

ACCOUNT REGISTRATION

All practitioners who wish to provide medical and healthcare services via the Website are required to complete an account sign up and registration process. Practitioners are required to provide (for verification purposes) evidence of their identity, licensure, registration and insurance by uploading such documents during the sign up process. Upon verification of the Practitioner’s identity and medical licence by our Doctor Validation team, the account would be activated and a notification email sent to the Practitioner. For any doctor account registration or validation query, please contact our Doctor Validation team at drvalidation@idhshealthwise.com.

Once activated, the Practitioner is able to fully access their personal Dashboard on the Website. You agree to immediately update your personal details if any information changes.

Each Practitioner must complete their personal profile information on the Dashboard as fully as possible in order to enable the Website users make informed choices when searching for a suitable healthcare professional. Each Practitioner must provide sufficient information about their experience, specialisation, education, location, etc. The Practitioner agrees to provide full, accurate and valid documents and information.

The Practitioner is required to upload the following:

  • current photo;
  • degree certificate;
  • registration confirmation
  • medical licence;
  • indemnity insurance;
  • proof of identity matching certificates and licences or proof of change of name where applicable.

Each Practitioner will need to confirm their area(s) of expertise and what the Practitioner can treat, details of their academic qualifications, length of experience, Licence/Registration number and expiry dates.

The Practitioner must set their availability (days and times he/she is available for consultation) in order to appear in user search results. The Practitioner may switch off their availability status if the Practitioner does not wish to appear in search results, for instance when he/she is away on leave or unreachable for certain period.

The Practitioner cannot register more than one account. If the Practitioner account has been suspended, blocked or terminated and/or is disputed, such Practitioner shall contact iDHS.HealthWise for preliminary written approval to open a new account.

For security reasons, please keep your password confidential and monitor your account for unauthorized third parties.  If you identify or suspect any unauthorised use of your account, you should immediately notify us.

FEEDBACK FROM USERS

All users have the option to rate and provide feedback for the Practitioner following a consultation. These ratings may influence the user’s choice of whom to consult with. iDHS.HealthWise will not be responsible for any feedback left by the user. However, iDHS.HealthWise will investigate any dispute between the user and the Practitioner if the Practitioner or the user submits a claim to iDHS.HealthWise.

QUALIFICATION OF DOCTORS AND MEDICAL PROFESSIONALS

By submitting any and all documents and information to iDHS.HealthWise, you warrant and guarantee that you comply with the following requirements:

  • you must be fully registered medical practitioners
  • you must be registered with the General Medical Council or with other general medical council or institutions in your country of residence;
  • you must have a track record of previous experience;
  • you have IT skills sufficient to provide services to users and comply with our technical requirements;
  • you will continue your professional development and renew registrations/licences before expiration;
  • you will provide services by yourself and will not engage any third party to act on your behalf;
  • you will perform all services with all due skill, care and diligence;
  • you will follow the principles of medical ethics in your country and as globally accepted;
  • you will ensure you keep any User medical and healthcare information in full confidence and take any necessary measures to secure such information against public disclosure or unauthorised access;
  • you will ensure you have (a) a valid email address; (b) a computer system that operates on a platform like Windows or Mac; (c) a 3G, 4G or similar connection to the Internet; (d) current versions of the software, browsers, plug-ins, or other computer applications and programs necessary for the Practitioner to perform services under these Terms; (e) a current version of a program that accurately reads and displays PDF files; and (f) a computer or device and an operating system capable of supporting all of the above;
  • you will fully comply with these Terms, Privacy Policy, and other documents made available to you by iDHS.HealthWise;
  • you will fully comply with applicable legislation in your Country of medical practise.

To the extent permissible by applicable law, iDHS.HealthWise may (but is not obliged to) supervise and control performance of services as needed to ensure user satisfaction. Such supervision and control may include recommendations, inspections, investigations and orders to suspend performance. iDHS.HealthWise may also suspend performance of services and terminate these Terms if the Practitioner fails to perform services under these Terms.

Upon termination of these Terms, the Practitioner will immediately cease performing any services the Website.

PERFORMANCE OF SERVICES

Our Services can be accessed via internet enabled mobile device, laptop and computer.

Our Services are not designed for crisis or emergency situations other than to offer advice. In a crisis or in an emergency situation, the Practitioner shall immediately ask the user to call the local medical emergency service or go to the nearest hospital.

The Practitioner must not prescribe any Controlled Drugs and some other classes of drugs as required by applicable law. The Practitioner must request from the User and review all information provided from the User before providing diagnosis, where appropriate, and recommending treatment. The Practitioner must immediately inform the User if the Practitioner is not qualified to treat certain medical conditions, or if the User’s condition require a physical examination.

Practitioners are not allowed to print the records of the user from the Website.

iDHS.Healthwise is only a platform on which the User may connect with a Practitioner. iDHS.Healthwise does not provide any medical or other consultation directly to the User.

We operate in accordance with the laws of England and Wales. Our Services are accessible in other countries across the world. Our Services are provided in English.

The Services are regulated by the Care Quality Commission in the UK (its website is http://www.cqc.org.uk) and the Practitioner must follow applicable laws and regulations.

SELECTION PROCESS

The Practitioner is selected solely by the user. The user decides whether he/she would like to consult with a GP, Specialist or Allied Health professional and is able to search accordingly. The user may additionally search by specialisation, length of practise experience, user ratings and feedback and other criteria.

Depending on the user’s search criteria and needs, a list of Practitioners would be displayed and the user can select each one to view further information about the Practitioner.

When the user selects from the Practitioner’s available free appointment slot(s), the Practitioner may Accept, Cancel or Re-schedule the Appointment Request.

A Registered Practitioner who has not activated their visibility or availability status is unlikely to be displayed in search results. User may however contact a Practitioner via direct messaging on the Website to check availability.

MEDICAL CONSULTATIONS

Once the Practitioner has accepted the booking request, the Practitioner is expected to be online on or before the scheduled appointment. The Practitioner shall notify the User promptly in writing if the Practitioner fails to provide a consultation on schedule and shall reschedule the appointment, or cancel the appointment, or refer the user to another Practitioner in no less than 24 hours before the scheduled appointment. Any failure of the above may result in a financial penalty.

The Practitioner who fails to provide a consultation on schedule or act as instructed above is penalised the equivalent of 15% of the total charge of the booked consultation time.

REFUSAL OF SERVICES

The Practitioner may reasonably refuse to provide services to a user on the grounds of lack of necessary skills and expertise, unavailability or other reasonable excuse. The Practitioner agrees to notify the user if the Practitioner is not able to provide the services after the User schedules an appointment.

In the event that the Practitioner decides to discontinue an appointment during the consultation process, a suitable explanation must be given to the user and the reasons and details recorded in the user’s notes.

Where possible, the Practitioner agrees to refer the user to another Practitioner who has more suitable experience and sufficient skills to provide a consultation for such a user.

CHILDREN

Our services are available only to registered users over 16 years old provided that they are able to use their credit or debit card for the payment of Charges. Children under 16 may have an account opened for them by a parent or legal guardian, and if the parent or legal guardian supervises the child’s use of our services at all times. If the Practitioner becomes aware that the user is under 16 years of age, the Practitioner must stop providing consultation and immediately notify iDHS.HealthWise.

RELATIONSHIPS BETWEEN PARTIES

The Practitioner is an independent contractor and will maintain complete control of and responsibility for their methods and operations. The Practitioner at no time will hold itself out as an agent, subsidiary or affiliate of iDHS.HealthWise for any purpose, including reporting to any government authority. These Terms will not be construed so as to create a partnership, other joint venture or undertaking, or any agency relationship between the parties and neither party shall become liable for any representation, act or omission of the other party or have the authority to contractually bind the other party.

Any fees, expenses or other amounts paid by iDHS.HealthWise to the Practitioner hereunder shall not be considered salary for pension or wage tax purposes and the Practitioner will not be entitled to any fringe benefits, including sick or vacation pay, or other supplemental benefits of the Practitioner, unless otherwise required by law. iDHS.HealthWise shall not be responsible for deducting or withholding from fees paid under these Terms.

The Practitioner will be solely responsible for payment of any and all taxes and other fees that can be required by applicable law and associated with the services under these Terms.

INSURANCE

The Practitioner is obliged to ensure that he/she has sufficient medical indemnity and malpractice insurance to cover his/her practice.

PAYMENT TERMS

The fees for Practitioner’s services are displayed on the Website. iDHS.HealthWise will pay Practitioners by BACs or Direct Bank transfer and Cheque (applies only in some Countries) within 14 days after the Practitioner submits a payment request on the Dashboard.

The Practitioner makes a payment request using their Timesheet Submission menu on the Dashboard. The Finance team reviews the payment request and processes the payment within 7 days.

The Practitioner must ensure to add the bank account details to his/her profile if the Practitioner wishes to receive payments directly into his/her bank account. It is the Practitioner’s responsibility to ensure that the information provided is accurate to avoid delay.

USE OF THE WEBSITE

You agree that you will not use the Services for any purpose that is unlawful or prohibited by these Terms. You must not, without limitation:

•          To perform criminal activity of any kind on the Website;

•          Damage, disable, overburden or impair the Website, or interfere with any other party’s use of the Website or services;

•          Attempt to gain unauthorised access to the Website, computer systems or networks connected to the Website by any means;

•          Reproduce, duplicate, copy, sell, resell or exploit any portion of the Website;

•          Upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages;

•          Make available any materials containing viruses, bots or other code, files or programs designed to interfere, hinder or impair the operation of any computer, telecommunication equipment or software;

•          Violate third party rights and/or cause harm in any way;

•          Collect and store personal information of other users without their proper authorization.

COMMUNICATION BETWEEN USER AND PRACTITIONER

When communicating between each other, our Practitioners will follow these basics:

  1. Follow basic medical and general ethical principles;
  2. Be clear and use accurate grammar and spelling;
  3. Do not personally insult another person;
  4. Do not harass, threaten or attack anyone;
  5. Do not behave in any way that would cause annoyance or distress to other person;
  6. Do not use hateful, abusive, sexually explicit or threatening language;
  7. Make sure that you communicate from an environment void of interference, noise and intrusion.

 

ACCESS RESTRICTIONS

If we have reasons to believe that your use of this Website is fraudulent and/or illegal, we are entitled in our sole discretion to block, suspend or terminate your access to the Website. If you have conducted any fraudulent and/or illegal activity, iDHS.HealthWise reserves the right to take any necessary legal action and you may be liable for monetary losses to iDHS.HealthWise.

INTELLECTUAL PROPERTY RIGHTS

The intellectual property contained in the Website (and any derivative works based on them) is confidential and/or proprietary information of iDHS.HealthWise, our affiliates or its licensors and is protected by copyright and other intellectual property rights. All title, ownership and intellectual property rights on the Website shall remain with iDHS.HealthWise, our affiliates or licensors, as the case may be. All rights not otherwise claimed under the Terms or by iDHS.HealthWise are hereby reserved.

You further acknowledge and agree that the Website are protected by copyrights, trademarks (whether registered or being under registration), service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by iDHS.HealthWise or the applicable licensor (such as an advertiser), you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the Services or the Website, in whole or in part. Without limiting the foregoing, any reproduction, redistribution, reverse engineering or decompilation of the services or the Website is expressly prohibited by law, and may result in severe civil and criminal penalties.

LINKED SITES

This Website may contain links to third party web sites ("linked sites"). The linked sites are not under the control of iDHS.HealthWise and we are not responsible for the content of any linked site. iDHS.HealthWise makes no representations regarding the content or appropriateness of content on such sites. When you access a linked site from this Website, you leave this Website and you do so at your own risk. You are responsible for viewing and complying with the terms and conditions posted on the linked site.

WARRANTIES

The Practitioner hereby represents and warrants that:

(a)        he/she has all authority, licenses, permits, and consents necessary to enter into and perform its obligations under these Terms, and will fully comply with all applicable laws and regulations in performing the services under these Terms;

(b)       the services provided pursuant to these Terms will be performed in a timely and professional manner by the Practitioner individually, consistent with generally-accepted industry standards;

(c)        he/she is an independent contractor, being an individual and not a group of individuals; and

(d)       he/she is under no contractual or other restrictions or obligations which are inconsistent with the execution of these Terms, or, to its best knowledge, which will interfere with its performance of the services.

INDEMNIFICATION

The Practitioner agrees to defend, indemnify, and hold harmless iDHS.HealthWise and our subsidiaries, affiliates, officers, agents, licensors, employees, partners or others involved in creating, sponsoring, promoting or otherwise making available the Website, providing services and data, from liability and claim for damages due to bodily injury, death, property damage, sickness, illness, disease, or expenses or losses from the Practitioner's performance under these Terms.

FORCE MAJEURE

iDHS.HealthWise shall not be deemed to be in default of any provision hereof or be liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of God, civil or military authority, civil disturbance, war, terrorism, strikes, fires, other catastrophes, power or telecommunications failure or any other cause beyond its reasonable control.

NOTICES

Any notice or other communication given or made under or in connection with the matters contemplated by these Terms shall be in writing and sent electronically.

Notice to the Practitioner deems to be received by such Practitioner if and when iDHS.HealthWise is able to demonstrate that communication, whether in physical or electronic form, has been sent to such Practitioner, or immediately after we post such notice on an area of the Website that is publicly accessible without charge.

You agree that all agreements, notices, demands, disclosures and other communications that iDHS.HealthWise sends to you electronically satisfy the legal requirement that such communication should be in writing.

INTERNATIONAL USE OF WEBSITE

The Website operates and can be accessed in many regions of the world. If you provide your services from outside the UK, the prevailing law within that jurisdiction would apply to your performance of the Services. Please contact us at cs@idhshealthwise.com before you register on the Website to check whether a practitioner consultation services can be provided from your country.

iDHS.HealthWise makes no representation that the Website is appropriate or available for use in certain locations. If you access the Website from other locations, you do so at your own initiative and are responsible for compliance with local applicable laws and regulations.

MISCELLANEOUS

Nothing in these Terms shall be interpreted as agency, partnership, joint venture, mutual activities, employment, franchiser-franchisee or any other relations not directly stated in these Terms.

If any provision of the Terms is held to be invalid, non-binding or unenforceable, the remaining provisions shall remain valid and be enforced. In such event, such invalid provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and you will at least agree to accept a similar effect as the invalid, unenforceable or non-binding provision, given the contents and purpose of these Terms.

The failure of iDHS.HealthWise to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of iDHS.HealthWise. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

iDHS.HealthWise may assign its rights and (where permissible by law) its obligations under these Terms, in whole or in part, to any third party at any time.
